INDEMNIFICATION

 

You agree to indemnify, defend and hold harmless, Arcfield, its subsidiaries, affiliates, joint ventures, business partners, licensors, officers, directors, employees, agents, and successors in interest  from and against any claims, losses, liabilities and expenses (including attorneys’ fees) arising from your use of the Site or Site Content, the breach of these Terms or the Policy, and/or any representations or warranties made by you with respect to Submissions (as defined below) made by your or on your behalf to or through the Site.

 

YOUR CONDUCT ON THE SITE

SITE SUBMISSIONS BY YOU

 

The Site may provide opportunities for you to submit information, inquiries, feedback or other materials to Arcfield (each, a “Submission”, and, collectively, “Submissions”). All Submissions, whether submitted via e-mail, web form or otherwise, irrespective of any legends included in or on such Submissions, shall be deemed non-confidential by Arcfield. By delivering a Submission to the Site, you hereby grant to Arcfield a fully paid-up, non-exclusive, perpetual, worldwide and royalty-free license to use such Submission as Arcfield deems appropriate (and subject to any limits on use set forth in the Policy). You agree that Arcfield may reproduce, transmit, distribute, adapt, perform, display and create derivative works from or based upon your Submission(s). Arcfield reserves the right at any time and without notice to reject, refuse to accept or post, or delete or remove any Submission. 

In the event the Site permits active interchanges among participants – for example, forums, bulletin boards or other opportunities for parties to share information and ideas – you acknowledge and agree that, subject to the immediately following sentence, Arcfield is under no obligation to, and may not prescreen, edit or otherwise review such postings before they are made available through the Site. Notwithstanding the foregoing, Arcfield reserves the right at any time, for any reason and without notice, to remove or delete postings or to shut down any on-line forums or other exchanges facilitated through the Site. No such postings shall be deemed to reflect the opinions or views of Arcfield, its owners, directors, officers or employees. To the fullest extent permitted by applicable law, Arcfield shall in no event be liable or responsible to you or anyone else for any such postings.

If you are under the age of 13, you may not register with or otherwise make Submissions to the Site. If you are over the age of 13, but under 18, Submissions may be submitted on your behalf only with the prior permission of your parent(s) or legal guardian(s). CHOICE OF LAW

These Terms are subject to and shall be interpreted in accordance with the laws of the State of Delaware, without regard to its conflicts of laws provisions.  By using the Site, you waive any claims that may arise under the laws of other states, countries, territories or jurisdictions, and agree that any dispute, legal action or proceeding between you and Arcfield that concerns or relates in any way to your access and use of the Site, Site Content, Submissions, postings or other material or any information available via the Site shall be brought exclusively in federal or state court, as applicable, in the State of Delaware. Any proceedings to resolve or litigate any dispute in any forum will be conducted solely on an individual basis.  Neither you nor Arcfield will seek to have any dispute heard as a class action or in any other proceeding in which either party acts or proposes to act in a representative capacity.

 INFORMATION ARCFIELD COLLECTS AUTOMATICALLY

If you apply for employment with Arcfield (whether directly or through a recruitment agency, job board or otherwise), Arcfield’s third-party vendor will collect certain personal information about you and share it with Arcfield. Arcfield will not use this information for any purpose other than to evaluate your employment application and for human resources processing. Unless you request otherwise, Arcfield’s third-party vendor may keep your personal information for Arcfield’s future use, including consideration for future employment opportunities with Arcfield. It is important to note that the privacy policies of the third-party vendor operating Arcfield’s Careers website may differ from Arcfield’s.
